Terms of Service

These Terms of Service (“Terms”) are a contract between you and SMC NEO LLC, a Wyoming limited liability company, 30 N Gould St, Sheridan, WY 82801, United States (“Company,” “we,” “us”). They govern your use of the OrderFlow X website, account, monthly script subscription, course, Idea Club, and related materials (the “Service”). Contact: support@orderflowx.com.

1. Acceptance

By creating an account, checking the consent box, starting a trial, paying a fee, or using the Service, you agree to these Terms, the Privacy Policy, the Refund Policy, the Cookie Policy, the Community Guidelines, and the Risk disclosure. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract. You may not use the Service if the law of your country or applicable sanctions prohibit it.

2. Nature of the Service

OrderFlow X is a set of proprietary indicators, overlays, and educational materials designed to be used on the TradingView charting platform. SMC NEO LLC licenses access to those scripts and materials. SMC NEO LLC does not operate a brokerage, does not hold trading funds, does not execute orders, and does not supply the underlying market-data feed.

Charts, prices, volume, and other market data you see while using the scripts are provided by TradingView and TradingView’s data licensors under TradingView’s terms and any exchange agreements attached to your TradingView account.

To use the paid scripts you need: (a) an active OrderFlow X monthly subscription or other plan described at checkout; (b) your own TradingView account in good standing on a plan that can load invite-only scripts; and (c) a broker of your choice if you place trades. TradingView fees and broker fees are separate from OrderFlow X fees. We do not refund those third-party fees.

3. No investment advice; no signals; no guarantee of profit

Nothing in the Service is investment, financial, tax, or legal advice, or a recommendation, solicitation, or offer to buy or sell any instrument. Scripts, alerts, course lessons, and Idea Club notes are educational analysis aids only. They are not trade instructions.

No representation is being made that any account will or is likely to achieve profits or losses similar to any example or discussion. Past performance is not necessarily indicative of future results. You can lose money, including more than you deposit in leveraged markets. The Risk disclosure at /risk-disclosure is part of these Terms.

4. Accounts

Provide accurate registration information, including a working email and, for script access, the correct TradingView username. One natural person per account unless we agree in writing. You are responsible for all activity under your login. Notify us of unauthorized use at support@orderflowx.com.

We may refuse, suspend, or close an account for breach of these Terms, unpaid fees, abuse, or a legal duty.

If you sign in with Google, Google’s terms also apply to that login. We receive the name and email Google shares with us. We do not receive your Google password.

5. License to the scripts

While your subscription is current, SMC NEO LLC grants you a limited, personal, non-exclusive, non-transferable, revocable license to load and use the licensed OrderFlow X invite-only script(s) inside your own TradingView account for your own analysis and education. You do not own the Pine code, the methodology, or the design.

You may not copy, republish, resell, sublicense, or share access; add a second TradingView user under one subscription; extract or reverse engineer the logic except where the law allows; or use the scripts to sell signals or run a desk for other people without a separate written license from SMC NEO LLC.

When the subscription ends, the license ends. We will revoke the TradingView invite. Screenshots or saved settings do not keep the license alive.

6. Monthly subscription, course, Idea Club, and trials

The core paid product is a monthly subscription for access to the licensed scripts. The price and currency are shown at checkout and may exclude taxes, which you must pay if applicable.

You pay for the first month at checkout. Your first paid month starts when we add your TradingView username to the invite list for the licensed script(s), not when you pay. If your username is already on that list when you pay, the month starts at payment. The subscription then renews automatically each month from that start date until you cancel. You authorize the payment processor to charge the payment method on file for each renewal.

After each successful payment we add or keep your TradingView username on the invite list for the licensed script(s). We are not responsible for delay if the username is wrong, if your TradingView plan cannot load invite-only scripts, or if TradingView is unavailable.

You may cancel before the next renewal from your account page or by emailing support@orderflowx.com. Cancellation stops the next charge. You keep access until the end of the month already paid.

If payment fails, we may remove script access immediately. Rejoining later is a new subscription.

A free trial, if offered, starts when we add your TradingView username, not when you sign up. It does not convert to a paid month unless you buy a plan. If a trial requires no card, nothing is billed when the trial ends.

The course is a separate license to educational videos and materials, not a sale of the files. Idea Club is a membership in a discussion space. It is not a trading desk and not a signal service.

Refunds and cancellations follow the Refund Policy at /refund-policy.

7. TradingView and market data

TradingView is a third-party platform. SMC NEO LLC is not affiliated with, endorsed by, or sponsored by TradingView, Inc. except that TradingView’s ordinary script features are available to eligible users. “TradingView” is a trademark of its owner.

Your use of TradingView is governed by TradingView’s Terms of Use, privacy policy, house rules, script rules, and vendor requirements, and by any market-data agreement on your TradingView plan. Those rules control the TradingView platform. These Terms control OrderFlow X fees and the script license granted by SMC NEO LLC.

We do not warrant TradingView uptime, data accuracy, invite delivery time, or whether you need a professional market-data plan. You are responsible for choosing the correct TradingView plan for how you trade.

You will not scrape, redistribute, or use TradingView data or OrderFlow X script output in a non-display system, API, or automated execution product unless you have the required licenses from TradingView and the relevant exchange. An alert created on TradingView uses TradingView’s alert engine. An alert is not an order and not a recommendation.

8. User content and Idea Club

You keep ownership of content you post (“User Content”). You grant SMC NEO LLC a worldwide, non-exclusive, royalty-free license to host and display that User Content solely to operate the Service.

You represent that you have the right to post the User Content and that it does not infringe others, does not disclose personal data of third parties without permission, and does not present trading ideas as guaranteed or as personalized advice.

We may remove User Content or restrict Idea Club access if these Terms or the Community Guidelines are broken.

9. Acceptable use

You may not use the Service to break the law; evade sanctions; harass others; upload malware; attempt unauthorized access; scrape or mine data; spam; share logins; or market third-party signals as if they were OrderFlow X.

10. Intellectual property

The scripts, documentation, course, trademarks (including OrderFlow X), and all non-User Content are owned by SMC NEO LLC or its licensors. Except for the limited license in section 5, no rights are granted.

11. Copyright complaints

If you believe content on the Service infringes your copyright, email support@orderflowx.com with: (1) your contact details; (2) the work you own; (3) the URL of the material; (4) a statement that you have a good-faith belief the use is not authorized; and (5) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized agent. We may remove the material and close the poster’s account.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMC NEO LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE, ACCURATE DATA, OR THAT THE SERVICE WILL HELP YOU PASS A PROPRIETARY-FIRM EVALUATION.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMC NEO LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR TRADING LOSSES, LOST PROFITS, MISSED TRADES, DATA ERRORS, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE SERVICE, THE SCRIPTS, TRADINGVIEW, THE COURSE, IDEA CLUB, OR ANY CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID TO SMC NEO LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR FIFTY US DOLLARS (US $50) IF YOU PAID NO FEES.

Some jurisdictions do not allow certain limits. In those places this section applies to the fullest extent allowed. Nothing excludes liability that cannot legally be excluded, including liability for fraud.

14. Indemnity

You will indemnify and hold harmless SMC NEO LLC from claims, damages, and reasonable legal fees arising out of your use of the Service, your trading, your User Content, or your breach of these Terms, except to the extent caused by our willful misconduct.

15. Privacy

Personal data is handled as described in the Privacy Policy at /privacy-policy.

16. Disputes and governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, except where mandatory consumer law in your country of residence says otherwise.

Before filing a claim, email support@orderflowx.com with a short description of the dispute and wait thirty (30) days so we can try to resolve it. If it is not resolved, the state or federal courts located in Wyoming shall have exclusive jurisdiction, except where mandatory law gives you the right to sue in your home courts.

17. Changes, assignment, severability, entire agreement

We may update these Terms. We will post the new version with a new “Last updated” date. If a change is material, we will email the address on your account when reasonably possible. Continued use after the effective date is acceptance of the new Terms.

You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger or sale of the business.

If a court finds one clause unenforceable, the rest remains in effect.

These Terms, the Privacy Policy, the Risk disclosure, the Refund Policy, the Cookie Policy, and the Community Guidelines are the entire agreement between you and SMC NEO LLC about the Service.
